Heddle Studio Referral Program Terms

These Referral Program Terms (the "Program Terms") govern participation in the Heddle Studio waitlist referral program (the "Program"). The Program is operated by Actify Automations LLC ("Heddle Studio," "we," "us," or "our") and supplements our Terms of Service ("ToS") and Privacy Policy, both of which are incorporated by reference. In the event of any conflict, these Program Terms control with respect to the Program.

By participating in the Program, you ("Participant") agree to these Program Terms.

1. Program Overview

The Program is a points-based gamified waitlist that rewards Participants for referring friends, colleagues, and contacts to join the Heddle Studio waitlist. Higher rankings on the leaderboard receive escalating rewards as described in Section 5 below. The Program is administered through KickoffLabs, our waitlist platform; KickoffLabs's processing is governed by its own terms and Data Processing Addendum.

2. Eligibility

To participate in the Program, you must:

(a) be at least eighteen (18) years old; (b) be located in the United States; (c) provide a valid name, email address, and company on the waitlist signup form; (d) comply with these Program Terms, the ToS, the Acceptable Use Policy, and applicable law.

The following persons are not eligible to participate or to receive Program rewards: employees, contractors, and agents of Actify Automations LLC and their immediate family members; persons whose participation would be prohibited by applicable law; and persons we have previously banned for fraud or breach.

3. How Points Are Earned

Participants earn points as follows:

Points are reflected on the Program leaderboard maintained by KickoffLabs.

4. Qualified Referrals

A "qualified referral" means a new Participant who:

(a) joins the waitlist using your unique referral link, and (b) submits the form from a unique IP address not previously associated with another waitlist signup.

Signups that fail the unique-IP check, that come from disposable / temporary email domains, that bounce, are flagged as spam, are submitted with invalid email format, or that we determine in our sole discretion to be automated, fraudulent, or abusive will not count as qualified referrals, and the referring Participant will not earn points for them.

If a referred individual is excluded from earning Program credit, we will reflect the reason on the lead card so the referring Participant has visibility into the outcome.

5. Rewards and Tiers

When the Program leaderboard is frozen at the start of Heddle Studio's beta launch (the "Leaderboard Freeze"), Participants will be assigned rewards based on their final ranking:

Reward details and limits:

• Discounts apply to the first twelve (12) months of subscription only and do not extend beyond that period.
• Discounts are not available on Enterprise pricing.
• Discounts are non-stackable with other promotions, credits, or discounts (including any Founding Member rate offered under ToS Section 4.12).
• Discount codes are single-use and non-transferable once redeemed.
• A Participant may transfer their unused discount code from one tier to a higher tier if they choose to subscribe to a higher tier than originally selected; however, the discount percentage applicable to that tier governs (e.g., transferring from Pro to Team applies the 10% Team rate, not 20%).
• If a Participant cancels their subscription, the remaining discount benefit is forfeited.
• Rewards have no cash value, are non-redeemable for cash or cash equivalents, and may not be exchanged, sold, or assigned. Any attempt to redeem rewards for cash or to sell, assign, or otherwise transfer a reward to a third party voids the reward.

6. Tiebreaker

If two or more Participants have the same point total at the Leaderboard Freeze, ties will be broken by earliest signup timestamp (the Participant who joined the Program earlier wins). If a tie remains after applying the timestamp rule (e.g., simultaneous millisecond-level signups), the tied positions will be assigned by random selection.

7. Reward Delivery

Rewards will be delivered within seven (7) days of the Leaderboard Freeze:

• Discount codes will be sent by email to the address on file from a Heddle Studio email address.
• Beta access will be granted by activating the Participant's account when the beta opens.
• Founder-led onboarding will be scheduled by Heddle Studio at a mutually agreeable time.

Forfeiture and reassignment. If a top-50 Participant does not redeem the discount code within seven (7) days of issuance, or if a Participant does not respond to onboarding outreach within seven (7) days, the reward will be forfeited and may be reassigned to the next eligible Participant on the leaderboard.

8. FTC Disclosure Obligations

Federal Trade Commission ("FTC") guidelines require that material connections between endorsers and the products they recommend be disclosed.

By participating in the Program, you acknowledge that:

(a) you receive a benefit (rewards) for referring others; (b) when you share your referral link or recommend Heddle Studio to others, you must clearly disclose this material connection; (c) the default referral message provided by KickoffLabs includes language designed to satisfy this disclosure obligation (e.g., "Sign up with my link and we can both get early access"). If you customize the message, you remain responsible for ensuring the customized version still includes adequate disclosure.

9. Anti-Fraud and Disqualification

The integrity of the Program depends on rules that prevent abuse. The following are prohibited:

(a) Self-referrals — creating multiple waitlist accounts using the same or similar email addresses, IP addresses, or devices to inflate your own point total. (b) Multiple accounts — creating more than one Program account, regardless of whether the additional accounts are used for self-referrals or other purposes. (c) Fake or invalid emails — using disposable email domains, role-based addresses (info@, support@), known temporary email services, or invalid email formats. (d) Automated tools — using scripts, bots, or other automation to enter referrals or inflate points. (e) Unsolicited or spam outreach — sharing your referral link via mass spam, unsolicited messaging, purchased email lists, or in violation of CAN-SPAM, TCPA, or similar laws. (f) Misrepresentation — making false or misleading statements about Heddle Studio in your referral outreach. (g) Circumventing eligibility — using a VPN, proxy, or false location information to participate from a prohibited region.

We reserve the unilateral right to disqualify any Participant we suspect, in our sole discretion, of violating these rules, without obligation to prove suspicion to the Participant's satisfaction. Disqualification may include:

• Resetting the Participant's points to zero;
• Removing the Participant from the leaderboard;
• Refusing to award rewards;
• Clawing back rewards already awarded, including invalidating issued discount codes, if fraud is discovered after delivery.

We will display the reason for disqualification on the Participant's lead card where reasonably possible, but disqualification decisions are final.

10. Taxes

Participants are solely responsible for any applicable taxes on rewards received. We may issue tax forms (e.g., IRS Form 1099) if required by law. By participating, you acknowledge that the value of rewards is your responsibility to report on personal or business tax filings as applicable.

11. Right to Modify the Program

We may modify these Program Terms at any time, including changing:

• Point values for actions
• Definitions of qualified referrals
• Reward structures and tier sizes
• Anti-fraud rules
• Other operational details

We will provide notice of material modifications by email and on the Program leaderboard. Continued participation in the Program after the effective date of modifications constitutes acceptance.

12. Right to Terminate the Program

We reserve the right to terminate the Program at any time. If we terminate, we will:

(a) honor rewards earned by Participants whose tier qualification (Top 50, 100, or 200) was met at the time of termination, subject to beta availability;

(b) if we are unable to deliver beta access for any reason (including but not limited to delay or cancellation of the beta), substitute equivalent rewards at our discretion or refund any consideration received from the Participant in connection with the Program (note: ordinarily no consideration is paid by Participants).

Termination of the Program does not affect any obligations under your separate ToS or subscription agreement, if any.

13. Privacy

Information collected through the Program (including names, emails, IP addresses, referral chains, and points data) is processed in accordance with our Privacy Policy. KickoffLabs's processing is additionally governed by KickoffLabs's own privacy practices.

If you click a referral link from an existing Participant, you may see a "You were referred by [Name]" indicator on the waitlist signup page so that you understand how you were introduced to the Program.

14. No Guarantee of Beta Access

Reward fulfillment depends on Heddle Studio launching its beta and making slots available. While we intend to launch by early Q3 2026, beta launch is subject to product readiness, business considerations, and other factors. Beta access and rewards are not guaranteed delivery dates, and we make no representation that the Program or beta will be available by any particular date.

15. Disputes

Any dispute arising out of or relating to the Program is subject to the dispute resolution provisions of our Terms of Service (Section 17 of the ToS), including the binding arbitration, class-action waiver, jury-trial waiver, and Texas governing law and venue. Notwithstanding the foregoing, claims for which small claims court jurisdiction is available may be brought in small claims court in Fort Bend County, Texas.
